These Terms apply to all users of the Service, including agency administrators, team members (managers), and their clients who access the Client Portal.

2. Description of Service

AI Hub Studio is a web-based SaaS platform designed for marketing agencies. The Service provides tools for content approval workflows, client collaboration through a branded Client Portal, AI-assisted content generation, project management, and social media publishing.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

To use the Service, you must create an account. You may register using Google Authentication or email and password. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

Agency administrators are responsible for managing team member and client accounts within their organization. Client accounts are created and managed by the agency; clients cannot independently modify their login credentials.

4. Subscription and Payments

The Service is offered under various subscription plans. Details of current pricing and features are available on our website. By subscribing to a paid plan, you agree to:

Pay all fees associated with your selected plan
Provide valid payment information
Accept that fees are billed in advance on a monthly or annual basis

We reserve the right to change our pricing at any time. Price changes will be communicated in advance and will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Service for any illegal or unauthorized purpose

Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service

6. Content and Intellectual Property

You retain all rights to the content you upload to the Service ("User Content"), including images, videos, audio files, text, and documents. By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service.

We do not claim ownership of your User Content. We will not use, share, or sell your content for any purpose other than operating the Service.

The Service itself, including its design, features, code, branding, and documentation, is the intellectual property of AI Hub Studio and is protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

7. AI-Generated Content

The Service includes AI-assisted content generation features powered by third-party AI providers. Regarding AI-generated content:

AI-generated content is provided "as is" without warranties of accuracy, originality, or fitness for a particular purpose
You are solely responsible for reviewing, editing, and approving all AI-generated content before use
We do not guarantee that AI-generated content is free from errors, biases, or intellectual property conflicts
You are responsible for ensuring that your use of AI-generated content complies with applicable laws and regulations

8. Client Portal

The Client Portal feature allows agencies to share content with their clients for review and approval. Regarding the Client Portal:

Agencies are responsible for managing client access and permissions
Client accounts are created by the agency and credentials are provided by the agency to its clients
All actions performed in the Client Portal (approvals, rejections, comments) are logged for audit purposes
Agencies are responsible for ensuring their clients are aware of and agree to these Terms

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://aihubstudio.pro/privacy-policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

You are responsible for ensuring that any personal data you upload to the Service (including client information) is collected and shared in compliance with applicable data protection laws.

10. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance that temporarily affects availability.

11. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI HUB STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Hub Studio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any content you upload to the Service

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination by contacting us. After 30 days, we may delete your data permanently.

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any prepaid fees unless otherwise required by applicable law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine. Any disputes arising out of or in connection with these Terms shall be resolved through negotiation in good faith. If a resolution cannot be reached, disputes shall be submitted to the competent courts of Ukraine.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on our website or sending an email to the address associated with your account. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

16. Severability
